1. Acceptance of these terms

By accessing or using the A2D Ventures website and investor platform (together, the "Platform"), you agree to be bound by these Terms of Use. If you do not agree, you must not use the Platform.

A2D Ventures may amend these Terms from time to time. Continued use of the Platform after changes are published constitutes acceptance of the revised Terms.

2. Eligibility and account registration

Access to the private investor platform is restricted to individuals and entities who have applied, been reviewed and been approved by A2D Ventures. You must provide accurate, complete and current information during registration and keep it up to date.

You are responsible for all activity that occurs under your account. You must notify A2D Ventures immediately of any unauthorised access or suspected breach of security.

3. No investment advice

Nothing on the Platform constitutes investment, legal, tax or accounting advice, nor an offer or solicitation to buy or sell any security in any jurisdiction where such an offer or solicitation would be unlawful.

All information is provided for general informational purposes. You should obtain independent professional advice before making any investment decision.

4. Confidentiality and non-circumvention

Information made available through deal pages, data rooms and investor communications is confidential. You may use it solely to evaluate a potential investment through A2D Ventures.

You agree not to circumvent A2D Ventures by contacting, transacting with or investing directly into a company introduced through the Platform other than through A2D Ventures, for a period of twenty-four (24) months from the date of introduction, without A2D Ventures' prior written consent.

5. Intellectual property

All content on the Platform, including text, graphics, logos, data compilations and software, is owned by or licensed to A2D Ventures and is protected by applicable intellectual property laws. You may not reproduce, distribute or create derivative works without prior written permission.

6. Acceptable use

You must not use the Platform for any unlawful purpose, attempt to gain unauthorised access to any part of the Platform, upload malicious code, scrape or harvest data, or interfere with the operation of the Platform or its security features.

7. Limitation of liability

To the maximum extent permitted by law, A2D Ventures and its affiliates, directors, employees and agents shall not be liable for any indirect, incidental, special, consequential or exemplary loss, including loss of profits or investment losses, arising from your use of the Platform.

8. Governing law

These Terms are governed by the laws of Thailand. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Thailand.
